Appointment of members of the Company's Supervisory Board for a new term of office

Content:

The Management Board of Creepy Jar S.A. with its registered office in Warsaw (hereinafter referred to as the “Company”, “Issuer”) informs that on 7 June 2022 the Ordinary General Meeting of Shareholders of the Company appointed the following persons to the Company’s Supervisory Board for a new term of office:

 

– Mr. Artur Lebiedziński;
– Mr. Tomasz Likowski;
– Mr. Michał Paziewski;
– Mr. Piotr Piskorz;

 

At the same time, the Issuer informs that Venture Closed-end Investment Fund, acting pursuant to § 18.3 of the Company’s Articles of Association, appointed Mrs. Mirosława Cienkowska to the Company’s Supervisory Board as of 7 June 2022.

 

As a result, the Company’s Supervisory Board consists of 5 members:

– Mrs. Mirosława Cienkowska;
– Mr. Artur Lebiedziński;
– Mr. Tomasz Likowski;
– Mr. Michał Paziewski;
– Mr. Piotr Piskorz;

 

Information on education, qualifications and previously held positions, together with a description of the professional career of newly appointed members of the Company’s Supervisory Board, as well as Mrs. Mirosława Cienkowska’s statement on compliance with the criteria required by law for members of supervisory boards, including a statement resulting from the principles of Best Practices for WSE Listed Companies 2021, are attached to this current report.

 

According to the submitted statements, none of the a/m Members of the Company’s Supervisory Board is engaged in any activity outside the Issuer’s company that would be competitive in relation to the activity performed in the Issuer’s company, participates in a competitive company as a partner in a private partnership, partnership or as a member of a body in a capital company or participates in any other competitive legal person as a member of its body, and is entered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.

 

At the same time, acting pursuant to Article 128 (1) of the Act on statutory auditors, audit firms and public supervision of 11 May 2017 (“Act”) and pursuant to §18.10-15) of the Company’s Articles of Association, the Supervisory Board appointed the Audit Committee for a new term of office, establishing the following functions within it:

 

a) Mrs. Mirosława Cienkowska – Chairwoman of the Audit Committee meeting the criteria of independence set out in Article 129 (3) and the criteria set out in Article 129 (1) of the Act;
b) Mr. Michał Paziewski – Member of the Audit Committee meeting the criteria of independence set out in Article 129 (3) and the criteria set out in Article 129 (5) of the Act;

c) Piotr Piskorz – Member of the Audit Committee meeting the criteria of independence set out in Article 129 (3) of the Act;


According to the Regulations of the Company’s Audit Committee, the Members of the Audit Committee are appointed by the Supervisory Board from among the members of the Supervisory Board for the duration of its term of office.

 

In addition, the Issuer informs that pursuant to § 18.5 of the Company’s Articles of Association, the Supervisory Board elected Mr. Michał Paziewski as the Chairman of the Company’s Supervisory Board.
